1. Acceptance of Terms & Eligibility

These Terms of Service (“Terms”) constitute a legally binding agreement between you (whether individually or representing an enterprise, commercial trading company, or sovereign procurement agency — “User”, “Buyer”, or “Supplier”) and the legal operator of the platform, VARS SU ÜRÜNLERİ İTHALAT İHRACAT SANAYİ VE TİCARET LİMİTED ŞİRKETİ (“VARS”, “CorpiFind”, “we”, “us”, or “Platform”), governing your access to and use of corpifind.com and related APIs, interfaces, and tools.

By creating an account, querying supplier records, issuing an RFQ, or utilizing our proforma invoice generator, you represent and warrant that:

• You are acting in a commercial, professional, or B2B capacity and not as an ordinary retail consumer;
• You possess the legal corporate authority to bind your company or organization to these Terms;
• Your company is not subject to international economic sanctions, trade embargoes, or denied-party lists issued by the United Nations, European Union, Republic of Türkiye, or United States OFAC.

2. Description of Platform Services

CorpiFind provides software for structuring sourcing requests and collecting quotes for inputs in aquaculture (sea bass, sea bream, trout, tuna), agriculture (dried fruits, nuts, olive oil, fresh produce), animal feed, and pet food. The platform features:

4. User Accounts & Corporate Authority

Users must register with an authentic corporate email address and designate an authorized representative. You are solely responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You agree to notify CorpiFind immediately at [email protected] if you suspect unauthorized access or security compromise.

5. Acceptable Use & Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

• Automated Scraping: Using bots, spiders, scrapers, or scripts to harvest directory data, facility coordinates, or pricing intelligence without prior written API licensing;
• Fraudulent RFQs: Submitting fictitious, speculative, or bad-faith inquiries intended to manipulate market benchmarks or deceive producers;
• Sanctions Evasion: Utilizing CorpiFind to broker, facilitate, or disguise transactions involving sanctioned regimes, designated terrorist entities, or illicit supply chains;
• System Interference: Attempting to probe, scan, or compromise our network vulnerabilities, bypass rate limits, or reverse-engineer the proprietary classification ontology.

6. Commercial Transactions, Incoterms & Settlement

Proforma invoices generated through CorpiFind adopt the International Chamber of Commerce (ICC) Incoterms 2020 definitions (such as FOB, CIF, CFR, DAP, EXW). Parties must verify that their bilateral sales contracts clearly articulate:

• Clear designation of named ports or delivery places;
• Transfer of risk and allocation of loading/unloading costs;
• Responsibility for obtaining export and import licenses, health certificates, EUR.1 / A.TR movement certificates, and phyto-sanitary inspection documents;
• Independent surveyor verification (e.g., SGS, Bureau Veritas) where required for payment releases.

7. Intellectual Property & Institutional Data

The CorpiFind software platform, trade matching algorithms, sector taxonomy, user interface design, and proprietary analytical aggregations are protected by copyright, trademark, and database rights owned by CorpiFind. Official public records remain the property of their publishers; CorpiFind shows them only with their source and under the publisher’s terms of use.

8. Subscription Tiers & Billing Terms

Platform access, inquiry allowances, and data intelligence capabilities are governed by the user’s active subscription tier (Free, Basic, Pro, or Enterprise / Pro Max) across buyer and seller accounts:

• Monthly Sourcing Quotas: Publishing Requests for Quotation (RFQs) and submitting commercial quotes are governed by calibrated monthly limits per tier (Free: 3 inquiries/month; Basic: 25 inquiries/month; Pro: 75 inquiries/month; Enterprise: custom capacity governed by written contract). Unused allowances do not carry over to subsequent billing cycles.
• Supplier Details: Supplier contact details and prices are shown only to signed-in accounts, within the limits of their plan.
• Billing Cycles: Paid subscriptions are billed in advance on a recurring monthly or annual basis as selected during plan checkout;
• Taxes: All listed subscription fees are exclusive of value-added taxes (KDV/VAT) or relevant withholding taxes, which will be itemized based on your registered tax jurisdiction;
• Cancellations: You may cancel your subscription at any time via the User App Panel. Cancellation takes effect at the end of the then-current billing cycle with no prorated refunds for partial periods.

9. Warranty Disclaimers & Limitation of Liability

Read this section carefully as it limits CorpiFind’s legal liability.

THE PLATFORM AND ALL SOURCING DATA ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. CORPIFIND DOES NOT WARRANT THAT PRODUCT RECORDS, SUPPLIER INFORMATION, CERTIFICATES OR TARIFF CALCULATIONS ARE ACCURATE, COMPLETE OR CURRENT, OR THAT THEY WILL RESULT IN SUCCESSFUL EXPORT CLEARANCE. RECORDS THAT HAVE NOT BEEN VERIFIED ARE MARKED AS SUCH.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORPIFIND SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, SPOILAGE OF PERISHABLE CARGO, DEMURRAGE CHARGES, PORT FINES, OR COMMERCIAL INTERRUPTIONS. OUR TOTAL AGGREGATE LIABILITY ARISING FROM THESE TERMS SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO CORPIFIND IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Türkiye, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply.

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or invalidity thereof, shall be settled by arbitration in accordance with the Arbitration Rules of the Istanbul Arbitration Centre (ISTAC). For any proceedings outside of arbitration, the competent courts and execution directorates of Izmir, Türkiye shall have exclusive jurisdiction.

11. Modifications & Miscellaneous

CorpiFind reserves the right to modify these Terms at any time. We will provide advance notice of material changes by posting an announcement on the platform and updating the “Last Updated” date at the top of this document. Continued use of the platform after changes take effect constitutes your binding acceptance.
